Terms and Conditions

For Zoom Products and Services Integration

Effective Date: May 19, 2025

Welcome to Codimite. These Terms and Conditions ("Terms") govern your access to and use of the services provided by Codimite, especially those listed under or integrated with Zoom's Products and Services. By using our services, you agree to be bound by these Terms.

1. Scope of Services

Codimite offers:

  • Custom software development and technical solutions tailored to Zoom products (e.g., Zoom Meetings, Zoom Phone, Zoom Contact Center, Zoom Webinars, Zoom Revenue Accelerator, Zoom Node).
  • Data migration services to Zoom platforms.
  • Integration, development, and automation.
  • Technical consulting and support.

All services are delivered based on mutually agreed-upon documentation such as a Statement of Work (SOW), proposal, or service agreement. Services not explicitly defined in these documents are considered out of scope.

2. Acceptance of Terms

By engaging with Codimite's services, you agree to:

  • Comply with these Terms and any linked policies.
  • Abide by additional conditions specified in relevant agreements (such as NDAs, SOWs, or Master Service Agreements).

If you do not accept these Terms, you should not use Codimite's services.

3. Client Responsibilities

As a client, you agree to:

  • Provide clear, accurate information, access, and feedback necessary for project execution.
  • Designate a point of contact for approvals, clarification, and communication.
  • Ensure that any data shared complies with applicable data protection and privacy laws.

4. Intellectual Property

Unless otherwise agreed:

  • The client owns custom-developed solutions, software, and assets upon full payment.
  • Codimite retains ownership of pre-existing tools, frameworks, or reusable components not specific to the client's business.
  • Codimite reserves the right to reuse generalized knowledge and non-confidential processes across engagements.
  • Zoom trademarks and APIs remain the property of Zoom Video Communications, Inc. and are used with appropriate permission.

5. Fees and Payment Terms

  • Pricing, payment structure, and billing terms will be specified in the SOW or agreement. Fees, payment schedule, and invoicing procedures will be defined in the Statement of Work or contractual agreement.
  • Payment is typically due within 15 to 30 days of invoice issuance, unless otherwise stated.
  • Delays in payment may result in service suspension or late fees.

6. Confidentiality

Both parties agree to:

  • Keep all confidential information received during the engagement secure.
  • Do not disclose such information to third parties without written consent, unless required by law.
  • This includes business strategies, system credentials, and any proprietary customer data.

7. Data Privacy and Security

Codimite follows best practices for secure software development and data handling. When applicable:

  • HIPAA-aligned processes are used for healthcare-related projects.
  • GDPR and CCPA principles are observed for personal data handling.
  • Codimite does not retain customer data unless explicitly authorized and necessary for delivery.
  • Clients remain the controller of their data at all times.

8. Warranty and Limitations

  • Codimite guarantees services will be delivered professionally and aligned with agreed requirements.
  • Deliverables are provided "as-is" unless a warranty is stated in the agreement.
  • Codimite is not responsible for any issues resulting from changes in Zoom APIs or third-party systems beyond our control.

9. Limitation of Liability

Codimite's liability is limited to the total fees paid by the client for the specific service that gave rise to the claim. In no case shall Codimite be liable for indirect, incidental, or consequential damages.

10. Termination

  • Either party may terminate the agreement with prior written notice, subject to the terms in the SOW or contract.
  • Clients are responsible for payment for all completed work and work in progress up to the termination date.
  • Upon termination, Codimite will revoke any access or licenses provided, unless otherwise stated.

11. Governing Law

The laws of Singapore govern these Terms. Any disputes will be resolved in the appropriate courts of that jurisdiction.

12. Modifications to Terms

Codimite reserves the right to update these Terms. When changes are made:

  • We will update the "Effective Date" above.
  • Clients or Zoom partners may be notified of material updates.
  • Continued use of our services after updates constitutes acceptance of the revised Terms.
